Terms of Service

1. Acceptance of these terms

By accessing or using UGCGen at ugcgen.ai (the "Service"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these terms. If you do not agree with any part of these terms, do not use the Service.

We may update these terms from time to time. We will notify you of material changes via email. Continued use of the Service after changes take effect constitutes your acceptance of the updated terms.

2. Description of the Service

UGCGen is an AI-powered ad creative generation platform. It lets you paste a product URL or script, select an AI creator avatar, and generate short-form UGC-style video ads suitable for TikTok, Meta, YouTube Shorts, and other digital advertising platforms.

The Service operates on a tiered subscription model with different generation limits, features, and export quality at each tier (Free, Starter, Plus, Pro, Enterprise). The free tier allows limited generations after creating an account and confirming your email.

3. Accounts and registration

To access features beyond the anonymous free tier, you must create an account by providing a valid email address and password. You are responsible for:

Maintaining the confidentiality of your account credentials.
All activity that occurs under your account or your team's account.
Keeping your email address current so we can send important service communications.
Notifying us immediately at [email protected] if you suspect unauthorized access to your account.

You must be at least 16 years old to create an account. Accounts are personal or organizational - you may not share your account with individuals outside your registered team.

4. Acceptable use

You may use UGCGen to create video ads for legitimate commercial purposes. You agree not to use the Service to:

Generate content that is illegal in your jurisdiction or in the jurisdiction of your target audience, including content that violates consumer protection or advertising laws.
Create deceptive, fraudulent, or misleading advertising - including ads that make false health or safety claims, fake testimonials, or bait-and-switch offers.
Produce content that harasses, threatens, or defames any individual or group.
Generate content that violates the intellectual property rights of third parties - for example, ads for counterfeit goods or ads that prominently misappropriate a competitor's brand identity without authorization.
Create adult, sexually explicit, or NSFW content using the Service.
Generate propaganda, content that incites violence, or material that promotes discrimination on the basis of race, ethnicity, religion, gender, sexual orientation, disability, or national origin.
Submit product URLs or scripts that contain malware, phishing, or other malicious content.
Attempt to reverse-engineer, scrape, or extract the underlying AI models, avatar rendering systems, or proprietary algorithms powering the Service.
Resell access to the platform itself - you may sell the video output you generate (that is the point), but you may not resell logins, API access, or the generation interface to others without a separate enterprise agreement.
Circumvent usage limits, quotas, or tier restrictions through technical means, multiple accounts, or other workarounds.

We reserve the right to suspend or terminate accounts that we determine, at our sole discretion, are in breach of these acceptable use standards. We may remove generated content that violates these terms without prior notice.

5. Intellectual property and commercial rights to generated content

Your content

You retain ownership of the product information, scripts, and other content you submit to the Service. By submitting it, you grant us a limited license to process and use that content for the sole purpose of generating your requested video output and storing it for your retrieval.

Generated video output - paid plans

On all paid subscription plans (Starter, Plus, Pro, and Enterprise), you receive full commercial rights to every video you generate. This means you can:

Use generated videos in paid advertising campaigns on any platform, including Meta, TikTok, Google, YouTube, Pinterest, Snapchat, and others.
Publish generated videos on social media accounts, websites, and other owned channels.
If you are an agency, deliver generated videos to your clients as deliverables. Your clients may then use those videos for their own paid advertising.
Adapt, re-edit, or combine generated videos with other creative elements, provided the modifications do not breach any other provision of these terms.

There is no additional licensing fee for commercial use of generated content on paid plans. The subscription price is the full cost.

Generated video output - free tier

Videos generated under the free tier (including anonymous session generations and Free-account generations) are subject to the following restrictions:

Free-tier videos are exported with a visible UGCGen watermark. Removing or obscuring this watermark programmatically or manually is not permitted under the free tier.
Free-tier videos may be used for personal evaluation and testing only. They may not be used in paid advertising campaigns or delivered to clients as commercial deliverables without upgrading to a paid plan.

Upgrading to any paid plan immediately removes the above restrictions for all future generations.

AI-generated content disclosure

UGCGen generates video content featuring AI creators (synthetic avatars) and AI-written scripts. Some advertising platforms and jurisdictions require disclosure that video ads feature AI-generated or synthetic humans. It is your responsibility to understand and comply with the disclosure requirements of any platform where you run ads using UGCGen-generated videos. UGCGen does not assume liability for violations of platform policies or applicable laws arising from your use of generated content without required disclosures.

UGCGen's platform

The UGCGen platform itself - including the software, interface, AI creator library (avatars, voice models), proprietary rendering pipeline, and all underlying technology - remains the exclusive property of UGCGen. Nothing in these terms transfers ownership of the platform or its components to you.

6. Subscriptions, billing, and cancellation

Subscription plans

Paid plans are available on a monthly or yearly billing cycle. Yearly plans are billed as a single upfront payment and offer a discount versus the equivalent monthly rate. Current prices are displayed at ugcgen.ai/pricing and may change. We will give you at least 30 days notice before increasing the price of your active subscription.

Payment

All payments are processed by Stripe. By subscribing, you authorize us (via Stripe) to charge your provided payment method on a recurring basis for the applicable subscription fee until you cancel. If a payment fails, we will retry up to three times over a short period before suspending your account access to paid features.

Free trial and money-back guarantee

New paid subscribers are eligible for a 14-day money-back guarantee on their first paid plan purchase. If you are not satisfied for any reason within the first 14 days of your first paid subscription, contact us at [email protected] and we will issue a full refund. This guarantee applies once per customer and does not apply to renewals, plan upgrades, or plan changes after the initial period.

Cancellation

You may cancel your subscription at any time through your billing settings or by contacting us at [email protected]. Cancellation takes effect at the end of your current billing period. You retain access to your paid plan features until then. After cancellation, your account reverts to the free tier; your projects and generated content remain accessible in your account at the applicable free-tier limits.

Cancelling a yearly plan mid-term does not automatically entitle you to a prorated refund for the unused portion, except within the 14-day guarantee window described above. If you have an exceptional circumstance, contact us and we will discuss it on a case-by-case basis.

Refunds outside the guarantee window

Outside the 14-day guarantee window, subscription fees are generally non-refundable, except where required by applicable law. Charges for plan upgrades (moving to a higher tier mid-cycle) are non-refundable.

Usage limits

Each plan has defined usage limits (video generations per month, team seats, export quality, etc.) as detailed in our pricing documentation. If you reach your plan's limits, additional generation will be blocked until your quota resets at the start of the next billing period, or until you upgrade to a higher tier. We do not charge overage fees; we stop generation at the limit.

7. API access (Enterprise)

API access to UGCGen's generation pipeline is available on the Enterprise plan under a separate agreement. Enterprise API usage is subject to rate limits, fair use requirements, and any additional terms agreed in the Enterprise MSA. Unauthorized programmatic access to the Service outside of sanctioned API agreements is a breach of these terms.

8. Termination

We may suspend or terminate your account and access to the Service at any time if:

You breach these Terms of Service or our acceptable use policy.
We are required to do so by law or a regulatory authority.
Your account poses a security risk to the platform or to other users.

Where practical and not prohibited by law, we will give you advance notice and an opportunity to remedy a breach before termination. If we terminate your account for cause, no refunds will be issued for the remaining subscription period.

You may terminate your account at any time by deleting it from your account settings or by contacting us. Upon termination, your right to use the Service ceases immediately. Your generated content is deleted within 30 days of account termination.

9. Disclaimer of warranties

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, UGCGen disclaims all warranties - express, implied, or statutory - including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

The Service will be uninterrupted or error-free.
Generated content will be of any specific quality or will meet your advertising performance objectives.
AI-generated videos will pass review on any specific advertising platform, or that such platforms' policies will not change in ways that affect AI-generated content.
The AI creator avatars will not be recognizable as AI-generated by future platform detection systems.

10. Limitation of liability

To the maximum extent permitted by applicable law, UGCGen and its team members will not be liable to you for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of ad spend, loss of business, or loss of goodwill, arising from your use of (or inability to use) the Service.

In any event, our total aggregate liability to you for any claims arising under these terms is limited to the amount you paid us in subscription fees in the 12 months preceding the claim.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In those jurisdictions, the above limitations apply to the fullest extent permitted by law.

11. Indemnification

You agree to indemnify and hold harmless UGCGen and its team from any claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service in violation of these terms; (b) the content you generate, publish, or submit to the Service; (c) your violation of any third party's intellectual property, privacy, or other rights; or (d) your breach of any applicable law.

12. Governing law and disputes

These Terms of Service are governed by and construed in accordance with applicable law, without regard to its conflict-of-law principles. If a dispute arises between you and UGCGen that cannot be resolved informally, we both agree to first attempt in good faith to resolve it through negotiation. If negotiation fails, disputes will be subject to the jurisdiction of the courts applicable to our place of business.

13. Miscellaneous

Entire agreement - these terms, together with our Privacy Policy and any Enterprise agreement, constitute the entire agreement between you and UGCGen regarding the Service.
Severability - if any provision of these terms is found unenforceable, that provision is modified to the minimum extent necessary to make it enforceable, and the rest of the terms remain in full effect.
Waiver - failure to enforce any provision of these terms is not a waiver of our right to do so in the future.
Assignment - you may not assign your rights or obligations under these terms without our prior written consent. We may assign our rights in connection with a merger, acquisition, or sale of assets.
Force majeure - we are not liable for delays or failures caused by events outside our reasonable control, including but not limited to internet outages, third-party service failures, or regulatory actions.
